These Website Terms and Conditions of Use ("Terms of Use" or "Terms") form an agreement between you ("you" or "your") and Filterbuy, Inc. ("Filterbuy," "we," "us" or "our") and govern your use of our website filterbuy.com and any other website owned or operated by Filterbuy that links to these terms (the "Site") and all features, content, functionality, and sale through the Site (collectively with the Site, the "Services").

READ THESE TERMS CAREFULLY, AS THEY CONTAIN TERMS AND CONDITIONS THAT IMPACT YOUR RIGHTS, OBLIGATIONS, AND REMEDIES IN CONNECTION WITH THE SERVICES, INCLUDING AN AGREEMENT TO ARBITRATE FOR ANY DISPUTE RESOLUTION UNDER SECTION 14 BELOW.

1. TERMS

By accessing the Site, you are agreeing to be bound by these Terms, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this Site. The materials contained in this Site are protected by applicable copyright and trademark law.

Certain features or offerings provided on the Site may be governed under additional terms that are presented to you ("Additional Terms"). All Additional Terms shall be incorporated into these Terms, unless expressly stated otherwise. In the event of any conflict between these Terms and Additional Terms, the Additional Terms shall control unless expressly stated otherwise therein.

2. USE LICENSE

Subject to your compliance with the Terms, Filterbuy grants you a limited, revocable, non-exclusive, non-transferable, non-assignable, and non-sublicensable right to access and use the Site for your own personal or internal business use only, and not for resale or third-party distribution. In order to use the Site, you must have internet access; otherwise, you will not be able to use some or all of the Site.

Filterbuy reserves the right, in its sole discretion, to modify or discontinue offering the Site, or to impose limits on your use of the Site, or any features, functionality, or tools thereof, in whole or in part, at any time, for any reason or no reason, with or without notice to you. You agree that Filterbuy has no obligation to provide any updates or to continue to provide or enable any particular Site features, functionality, tools, or content and, to the maximum extent permitted by applicable law, will not be liable with respect to any such modifications, discontinuance, or deletions.

3. ACCOUNT AND USER CONDUCT GUIDELINES

To access the Site or some of the resources it offers, you may be asked to provide certain registration details or other information to create an account ("Account"). It is a condition of your use of the Site that all the Account information you provide to us through the Site is correct, current, and complete. It is your responsibility to update any Account information when it becomes out-of-date. Any personal data processed by us with respect to your Account will be done so in accordance with our privacy policy found at https://filterbuy.com/privacy-policy/ ("Privacy Policy"). You agree that your access credentials with respect to your Account must be treated as confidential information, and you must not disclose Account access credentials to any other person or entity.

You are not authorized to access or use the Site or create an Account if you are under 18 years of age, if you are a person barred from receiving services under the laws of the United States or other applicable jurisdiction, or for any other purposes that are not expressly permitted by these Terms or which violate applicable law. In addition, you may not:

Filterbuy reserves the right to investigate and prosecute violations of any and all reports, complaints, and claims, or otherwise suspected misconduct or violations of the law to the fullest extent of the law, and to monitor and/or disable access to or use of the Site by any user.

4. COOKIES AND TRACKING TECHNOLOGIES

Our Site uses cookies and similar tracking technologies to enhance your experience, analyze site performance, and facilitate certain features and functionalities. Cookies are small data files stored on your device that help us recognize you and remember your preferences. 5. SMS/TEXT MESSAGES AND MARKETING COMMUNICATION CONSENT

By providing your phone number and opting in to receive marketing messages, including via SMS or text messages, from Filterbuy, you expressly consent to receive marketing and non-marketing calls and text messages from or on behalf of Filterbuy at any time of day, including those made using an automatic telephone dialing system (auto-dialer), prerecorded or artificial voice messages, or other automated technology, at the phone number you provide. Your consent to receive such messages is not a condition of any purchase. Message and data rates may apply. The frequency of messages may vary. You may opt out of receiving SMS or text messages at any time by replying STOP to any message you receive from us, or by following the instructions provided in the message. For help or more information, reply HELP or contact our customer service. For more information about how we use your telephone number and your rights and choices, please refer to our Privacy Policy.

6. PURCHASES AND PAYMENT

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us. All payments shall be in US dollars.

You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

We reserve the right to refuse any order placed through the Services. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same payment method, and/or orders that use the same billing or shipping address. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.

7. SUBSCRIPTIONS – AUTOMATIC RENEWALS

If you purchase products offered on the Site on a subscription basis (a "Subscription"), you agree and acknowledge that your Subscription will automatically renew at the frequency you select during the checkout process (e.g., every year), unless you cancel your Subscription at least three days prior to your Subscription's renewal. The applicable Subscription frequency, price, and any other relevant terms will be disclosed to you prior to your purchase and are incorporated into this Agreement. By completing your Subscription purchase, you authorize Filterbuy or its payment processor to automatically charge the payment method you provide for each renewal period, at the frequency and price displayed at checkout, until you cancel. Filterbuy reserves the right to modify Subscription terms, including pricing and frequency, upon reasonable notice to you, and such changes will apply to future Subscription periods. If you do not wish to accept any changes, you may cancel your Subscription prior to the next renewal.

Cancellation. If you want to cancel or change your subscription, you can do it at any time. Your order confirmation emails have links to your order. You can manage your subscription from there. You can also contact customer support for cancellations.

8. INTELLECTUAL PROPERTY OWNERSHIP

The Site is protected by copyright, trademark, patent, and other laws of the applicable jurisdiction and throughout the world. You acknowledge and agree that the Site, and all intellectual property rights therein, are the exclusive property of Filterbuy and its licensors. You will not remove, alter or obscure any copyright, trademark, service mark, patent marking, or other proprietary rights notices incorporated in or accompanying the Site, and you may not use the trade names, logos, and other trademarks and service marks associated with Filterbuy without our prior written consent.

You may not use, copy, reproduce, distribute, license, sell, transfer, publish, post, publicly display, publicly perform, transmit, broadcast, adapt, modify, prepare derivative works based upon, or otherwise exploit any features, functionality or tools of, the Site in any form or by any means, or sublicense the rights granted in the Terms.

No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Filterbuy or its licensors, except for the revocable licenses and rights expressly granted in the Terms. All rights not expressly granted to you by the Terms are hereby reserved to Filterbuy and its licensors.

If you choose to provide feedback, comments, ideas, and suggestions for improvements, enhancements, and modifications to the Site ("Feedback"), you acknowledge and agree that all Feedback you give us (i) will be treated as non-confidential, and (ii) will be the sole and exclusive property of Filterbuy. You hereby irrevocably transfer and assign to Filterbuy all of your right, title, and interest in and to, and waive any moral rights you may have in, all such Feedback.

9. DISCLAIMER

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, PRODUCTS, AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE ARE PROVIDED BY FILTERBUY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT NOT PROHIBITED BY APPLICABLE LAW, FILTERBUY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. FILTERBUY DOES NOT WARRANT THAT THE SITE, ITS CONTENT, OR ANY SERVICES OR FEATURES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SITE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM FILTERBUY OR THROUGH OR FROM THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

10. LIMITATIONS AND INDEMNIFICATIONS

IN NO EVENT SHALL FILTERBUY OR ITS SUPPLIERS BE LIABLE FOR ANY (A) INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR (B) DAMAGES FOR LOST REVENUES OR PROFITS, LOSS OF OPPORTUNITY, LOSS OF DATA OR LOSS OF GOODWILL ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, PRODUCTS PURCHASED THROUGH THE SITE, OR THE USE OF OR INABILITY TO USE THE SITE OR ITS MATERIALS, WHETHER BASED IN WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT FILTERBUY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. NOTWITHSTANDING ANYTHING TO THE CONTRARY, IN NO EVENT SHALL FILTERBUY'S LIABILITY EXCEED THE AMOUNTS PAID BY YOU IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS AND EXCLUSIONS APPLY TO YOU ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.

To the maximum extent not prohibited by applicable law, you agree to release, defend, indemnify, and hold Filterbuy and its affiliates, licensors, and service providers harmless from and against any claims, liabilities, damages, losses, costs, and expenses, or any other injuries, losses, or damages (whether compensatory, direct, incidental, consequential, or otherwise) of any kind, and including reasonable legal fees and litigation expenses and costs, arising out of or relating to or in any way connected with your access to or use of the Site, your breach of the Terms, or your gross negligence or willful misconduct.

11. REVISIONS AND ERRATA

The materials appearing on the Site may include technical, typographical, or photographic errors. Filterbuy does not warrant that any of the materials on its Site are accurate, complete, or current. Filterbuy may make changes to the materials contained on its Site at any time without notice. Filterbuy does not, however, make any commitment to update the materials.

12. LINKS

Filterbuy has not reviewed all of the sites linked to its Site and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Filterbuy of the third-party site. Use of any such linked website is at the user's own risk.

13. SITE TERMS OF USE MODIFICATIONS

We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Additional Terms, in connection with the Site or Services, to reflect changes in applicable laws and regulatory requirements, to implement technical adjustments and improvements, or to respond to market requirements. All changes are effective immediately when we post them unless we expressly specify otherwise. In any event, no changes will apply retroactively as to any claims existing prior to the "last updated" date. It is your responsibility to regularly check these Terms to stay informed of updates, as they are binding. We will indicate that the Terms have been updated by updating the "last updated" date at the top of these Terms. Your continued use of the Site or Services following the posting of revised Terms means that you accept and agree to the changes.

14. DISPUTE RESOLUTION

Disputes. The terms of this Section 14 shall apply to all Disputes between you and Filterbuy. For the purposes of this Section, "Dispute" shall mean any dispute, claim, controversy or action between you and Filterbuy arising under or relating to your use of the Services, this Agreement, or any other transaction involving you and Filterbuy, whether in contract, warranty, misrepresentation, fraud, tort, intentional tort, statute, regulation, ordinance, or any other legal or equitable basis, and shall be interpreted to be given the broadest meaning allowable under law.

Opt-Out. You may elect to opt-out (exclude yourself) from the final, binding individual arbitration procedure and waiver of class and representative proceedings specified in this section by sending a written letter to Filterbuy within thirty (30) calendar days of your initial agreement to this Agreement.

Dispute Notice. In the event of a Dispute, you or Filterbuy must first send to the other party a notice of the Dispute that shall include a written statement that sets forth the name, address, and contact information of the party giving it, the facts giving rise to the Dispute, and the relief requested.

Mediation. In the event the parties cannot resolve the Dispute via the informal dispute resolution conference, the Dispute must first be submitted to non-binding mediation before a neutral third party before it may proceed to arbitration.

Binding Arbitration. In the event mediation is unsuccessful, you and Filterbuy agree to arbitrate all Disputes pursuant to the provisions of this Agreement; this Agreement memorializes a transaction in interstate commerce; the Federal Arbitration Act (9 U.S.C. § 1, et seq.) governs the interpretation and enforcement of this Section.

WAIVER OF CLASS ACTIONS AND CLASS ARBITRATIONS. YOU AND FILTERBUY AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER PARTY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15. GOVERNING LAW

Any claim relating these Terms, the Site, or the interpretation of the arbitration agreement provided herein, shall be governed by the laws of the State of Alabama without regard to its conflict of law provisions.

16. MISCELLANEOUS

These Terms constitute the entire and exclusive understanding and agreement between you and Filterbuy regarding your access to and use of the Site and supersede and replace any and all prior or contemporaneous oral or written understandings or agreements between you and Filterbuy regarding the subject matter hereof.

You may not assign, transfer, delegate, subcontract, or sublicense any of your rights or obligations under the Terms. Any attempted assignment, transfer, delegation, subcontracting, or sublicense without the foregoing consent will be null and void.

FREE AIR FILTERS FOR ONE YEAR CONTEST

These contest additional terms "Additional Terms" form part of the agreement between you and Filterbuy under the Website Terms and Conditions of Use.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS CONTEST. A purchase will not improve chances of winning. This contest is only open to legal residents of the United States who are at least 21 years of age or older upon the date of entry.

How to Enter

You may enter the contest in three ways. First, you may enter your email address in the box provided. Second, you may send an email to info@filterbuy.com indicating your desire to enter the contest. Third, you may send a letter to FilterBuy, INC 101 Pope St Talladega, AL 35160 to enter the contest. Limit one entry per person.

Eligibility

You acknowledge that by submitting an entry, you agree to provide your email address to FilterBuy, who may email you from time to time. All entries become the property of FilterBuy and will not be acknowledged or returned.

Winner Selection

Winner selection will be conducted by random drawing from all eligible entries each month following the contest closing time. Any potential winner will be notified by mail, email and/or telephone.

Prize and Terms

There will be one (1) winner each month who will receive 12 standard air filters (1", 2", or 4") or 6 whole house filters (any filter of width greater than 4"), with an estimated retail value of $120.
